Welcome to Prismfolio ("we," "our," or "us"). These Terms of Service ("Terms") govern your use of our browser extension, website, and related services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

You must be at least 13 years old to use the Service. Paid subscriptions may require you to be 18 or older where required by law. These Terms are between you and Vault and Compass, LLC, which operates Prismfolio. For Vault & Compass company-wide terms, see vaultcompass.io/terms.

The Service is designed for use in the United States. We make no representations or warranties that the Service is appropriate, available, or compliant with the laws of any other jurisdiction. You may access the Service from outside the United States, but we assume no obligation or liability for your compliance with non-U.S. law, and we do not accept claims or obligations arising under any foreign legal regime.

1Acceptance of Terms

By creating an account, using our browser extension, or accessing our website, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms constitute a legally binding agreement between you and Vault and Compass, LLC.

If you do not agree with these Terms, you must discontinue your use of our Service immediately. We reserve the right to update or modify these Terms at any time, and your continued use of the Service following any changes constitutes acceptance of the updated Terms.

2Description of Service

Prismfolio provides a browser extension and web application that allows you to:

• Extract and analyze your investment portfolio data from brokerage websites
• View portfolio diversification and allocation metrics
• Understand your sector and industry exposure
• Identify concentration risks in your holdings
• Access educational information about your investments

3User Responsibilities

By using our Service, you agree to the following responsibilities:

• Accurate Information: You will provide accurate, current, and complete information when creating an account or using our Service
• Lawful Use: You will use our Service only for lawful purposes and in accordance with these Terms
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account
• Data Accuracy: You acknowledge that portfolio data extracted by our extension may not always be accurate or up-to-date, and you should verify important information with your brokerage
• Brokerage sites: Sign-in and account activity on your brokerage happen only on the broker's own site. We do not operate, control, or endorse any brokerage website. We are not responsible for a broker's site, terms, availability, errors, security incidents, or anything else that happens there.
• Broker fraud protection: Brokers generally treat use of a third-party tool, including Prismfolio, as authorized by you, and that can affect the broker's own fraud protection guarantee. This is true of any portfolio tool, including bank connection services, and is not specific to Prismfolio. Your relationship with your brokerage is between you and the brokerage.
• Prohibited Activities: You will not attempt to reverse engineer our software, interfere with our systems, or use our Service to violate any laws or regulations

4Subscription and Billing

Prismfolio offers a free tier and an optional paid Plus subscription. Prices, billing intervals, and any promotional offers shown at checkout or on our pricing page are incorporated into these Terms.

Free tier. The browser extension and basic web features are available without a paid subscription. Without an account, extract data may remain on your device. When you sign in on Free, portfolio data from analyses and syncs is stored in our cloud (subject to Free plan limits, including up to one Plaid auto-sync connection).

Trial. Plus may include a free trial (for example, 14 days). A valid payment method is required to start a trial. Unless you cancel before the trial ends, your subscription converts to a paid plan at the rate shown when you started the trial.

Price changes: Renewals bill at the then-current price for your plan. A price change takes effect at your next renewal — never mid-period — and where required by law we will provide advance notice; you can cancel before the change applies and you will not be charged the new price.

Founding promotion. Limited-time founding pricing, when offered, applies only to eligible new Plus subscriptions during the stated promotional window and while founding seats remain, and at the price shown at checkout. Founding-rate subscriptions are excepted from price changes: Once you subscribe at a founding price, that price remains your renewal rate for as long as your subscription remains continuously active.

Renewal and cancellation. Paid plans renew automatically for successive subscription terms unless you cancel before renewal. You may cancel anytime from account settings or the Stripe customer portal; cancellation takes effect at the end of the current paid period unless otherwise required by law.

Refunds. Except where required by law or expressly stated at checkout, fees are non-refundable once a subscription term has begun. Downgrades and cancellations stop future charges but do not retroactively refund the current term.

5Disclaimer

No Warranties: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Data Accuracy: While we strive to provide accurate and up-to-date information, we make no representations or warranties about the completeness, accuracy, reliability, suitability, or availability of the data, information, or analysis provided through our Service. Market data may be delayed or contain errors.

6Limitation of Liability

To the maximum extent permitted by law:

• Prismfolio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses
• We are not responsible for any damages resulting from your use of or inability to use our Service, unauthorized access to or alteration of your data, or bugs, viruses, or other harmful code
• We are not liable for any investment losses you may incur, whether or not such losses were based on information obtained through our Service

To the maximum extent permitted by law, Vault & Compass's total liability for any claim relating to Prismfolio is limited to the greater of one hundred dollars ($100) or the amount you paid us in the twelve months before the claim. Some jurisdictions do not allow the exclusion of certain warranties or certain limitations of liability; these limits and exclusions apply only to the extent the law allows.

7Intellectual Property

Ownership: Prismfolio and its licensors own all right, title, and interest in and to the Service, including all software, text, graphics, logos, trademarks, and other content. This content is protected by copyright, trademark, and other intellectual property laws. Prismfolio, Sheetful, and Vault & Compass are trademarks of Vault and Compass, LLC.

Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to use our Service for your personal, non-commercial use in accordance with these Terms. You may not:

• Copy, modify, or create derivative works of our Service
• Reverse engineer, decompile, or disassemble our software
• Remove or modify any proprietary notices from our Service
• Use our Service in any manner that could infringe upon our intellectual property rights

Your Data: You retain ownership of any portfolio data you provide to our Service. By using our Service, you grant us a license to store, process, and analyze your data solely for the purpose of providing our Service to you.

8Termination

Your Right to Terminate: You may stop using our Service at any time. You may also delete your account and associated data at any time through your account settings or by contacting us.

Our Right to Terminate: We reserve the right to suspend or terminate your access to our Service at any time, with or without cause, and with or without notice. Grounds for termination may include but are not limited to:

• Violation of these Terms
• Use of our Service for unlawful purposes
• Attempts to gain unauthorized access to our systems
• Activity that could harm our Service, other users, or third parties

Upon termination, your right to use the Service will immediately cease. We may also delete your account and all associated data in accordance with our Privacy Policy.

9Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law provisions.

Contact us first: Before either of us files a formal legal claim or starts arbitration, that party must contact the other and allow 30 days to try to resolve the dispute informally. You can reach us at support@prismfolio.io.

Arbitration: If we cannot resolve a dispute informally, it will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, on an individual basis. Arbitration hearings will be held virtually by videoconference or telephone unless you and we agree otherwise, or the arbitrator determines, on a party's request, that an in-person hearing is appropriate. If an in-person hearing is held, the locale will be determined under the AAA Rules at a location reasonably convenient to you; San Francisco, California is our preferred locale where you agree to it. Arbitration costs are allocated under the AAA Consumer Arbitration Rules' fee schedule. Either party may instead bring an individual claim in small-claims court.

Class waiver: Class actions and class arbitrations are waived; claims proceed on an individual basis only. If a court finds the class waiver unenforceable as to a particular claim, that claim (and only that claim) must proceed in court, and the rest of this section remains in effect.

Coordinated claims: If twenty-five (25) or more arbitration claims of a similar nature are brought against Vault & Compass by the same or coordinated counsel or parties, the claims will be resolved in staged proceedings: each side may select up to five (5) claims to proceed first as bellwether arbitrations, and the remaining claims will not be filed with the arbitration provider — and no arbitration fees will come due on them — until the bellwether arbitrations conclude. After the bellwether awards, the parties will engage in a good-faith global mediation of the remaining claims. If the mediation does not resolve the remaining claims, they may then be filed with the arbitration provider in successive stages of up to fifty (50) claims each. Any applicable statute of limitations is tolled for claims from the time they would otherwise have been filed until their stage proceeds. If a court or arbitrator finds this staging provision unenforceable as to a claim, it is severed as to that claim only and the rest of this section remains in effect. Nothing in this staging provision limits either party's right to bring an individual claim in small-claims court at any time.

Your right to opt out: YOU MAY OPT OUT of this arbitration provision entirely by emailing support@prismfolio.io within 30 days of first accepting these Terms, stating your name, account email, and that you are opting out of arbitration; opting out does not affect any other part of these Terms.

Exceptions: Nothing in this section shall prevent either party from seeking injunctive relief in a court of competent jurisdiction for intellectual property infringement or other irreparable harm.

10Privacy Policy

Your use of our Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your data. By using our Service, you agree to the collection and use of your information as described in our Privacy Policy.

11Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

• Post the updated Terms on this page
• Update the "Last updated" date at the top

Your continued use of our Service after any changes to these Terms constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must discontinue your use of our Service.

13General Provisions

Severability. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions will continue in full force and effect.

Waiver. If we don't act on a violation of these Terms right away, that doesn't mean we're giving up the right to act on it later. A waiver only counts if we state it in writing.

Survival. Section 5 (Disclaimer), Section 6 (Limitation of Liability), Section 7 (Intellectual Property), and Section 9 (Governing Law and Dispute Resolution) survive termination of your account or these Terms.
